The Share Incentive Plan Calculator is a comprehensive and employee-friendly tool that helps you understand the real value of your stock options and equity compensation — something that can be surprisingly difficult to work out on your own when vesting schedules, strike prices, growth projections, and dilution are all part of the equation. Whether you are evaluating a job offer that includes equity, trying to understand how much your current stock options are actually worth today, or planning ahead for what your shares could be worth at a future exit, this calculator gives you a clear and detailed answer across all three dimensions.

The tool is organized into three tabs — a Basic Calculator for core valuations, an Advanced Analysis section for modeling different growth scenarios, and a built-in Guide that explains key terminology and concepts — making it equally useful whether you are deeply familiar with equity compensation or encountering it for the first time.

How to Use the Share Incentive Plan Calculator Online

The calculator is straightforward to navigate and delivers results across several useful dimensions at once. Here is how to use it:

Step-by-Step Instructions:

  • Start on the Basic Calculator tab and enter your grant details — the number of options or shares you have been granted, for example 1,000, and the strike or exercise price at which you can purchase them, for example $1.00.
  • Enter the current share price — for example $2.00 — and the expected exit share price at which you anticipate the company’s shares being valued at a future sale or IPO, for example $10.00.
  • Set your vesting parameters by entering the vesting period in years — for example 4 years — the cliff period in months — for example 12 months — and your vesting frequency, choosing between monthly, quarterly, or annual vesting depending on what your agreement specifies.
  • Enter the total number of company shares outstanding — for example 10,000,000 — so the calculator can determine your ownership and fully diluted equity percentage accurately.
  • Click “Calculate” and your results will appear across four sections — your Current Value showing the total value and gain over exercise price at today’s share price, your Projected Exit Value at the expected exit price, your Ownership percentage both standard and fully diluted, and your Vesting progress showing how many shares have vested and how many remain.
  • Switch to the Advanced Analysis tab to explore growth scenarios. Use the sliders to set conservative, moderate, and aggressive annual growth rates and choose a projection period of up to 10 years, then click “Update Projections” to see a growth chart showing how your equity value could develop under each scenario.
  • Visit the Guide tab at any time to read clear explanations of key terms like strike price, cliff vesting, dilution, ISO versus NSO options, AMT implications, and 83(b) elections, along with a pro tip on how to evaluate equity as part of a job offer.

Why Use the Share Incentive Plan Calculator Online?

  • Current and Exit Value in One Calculation: The calculator shows you both what your options are worth right now at the current share price and what they could be worth at a projected exit valuation, giving you a complete picture of your equity’s present and potential future value without needing to run separate calculations.
  • Vesting Schedule Visualization: A progress bar and vesting chart display exactly how many of your shares have vested to date and how many are still to come across the remaining vesting period, making it easy to understand your position at any point in time without having to manually track the schedule yourself.
  • Three Growth Scenario Projections: The Advanced Analysis tab lets you model conservative, moderate, and aggressive share price growth rates across a projection period of your choosing, so you can see a realistic range of possible outcomes rather than relying on a single optimistic or pessimistic estimate.
  • Ownership and Dilution Insight: Alongside your financial figures, the calculator shows your equity percentage both on a basic basis and fully diluted, which is critical context for understanding how meaningful your stake actually is — especially in companies that may issue more shares over time through future funding rounds.
  • Built-In Tax Considerations: The tool highlights important tax factors including the difference between Incentive Stock Options and Non-qualified Stock Options, the potential Alternative Minimum Tax implications of exercising ISOs, and the relevance of 83(b) elections for restricted stock, giving you the awareness you need before making any decisions — while appropriately recommending professional advice for your specific situation.
  • Ideal for Employees and Job Seekers: Whether you are reviewing equity as part of a new job offer, tracking the value of options at your current employer, preparing for a liquidity event, or simply trying to understand what your share plan actually means in financial terms, this calculator brings clarity to what is often one of the most confusing parts of employee compensation.
  • Free and Accessible: No registration, no fees, and works on any device, so you can model your equity value from your phone, tablet, or desktop whenever you need to run the numbers.
